Milk marque did something similar when it's swapped over to milk link.


Spend some time on companies House and you will be enlightened as to how many subsidiaries etc some companies hold for liability and tax purposes.

Milk marque was divided into 3 parts that dealt with milk not just Milk Link. The three were Milk Link, what became First milk and what became Dairy farmers of Britain. The last bit of Milk Marque became Community Foods, the ownership of which was the shareholders of Milk Marque. Community effectively went bust when its' pension liabilities exceeded its value and the shares became worthless, with the assets going to the pension fund.

That is different from Dairy Crest who are owned by Saputo. All the shares having been transferred to Saputo. I assume if the liability exceeded the value of Dairy Crest it would then become insolvent and Saputo could choose to walk away have lost all the money they spent buying the shares or not but that is not likely based on the fine issued

I knew of Community foods and they held a pot of money, but also liabilities.

As I said previously I wasn't sure how the deal was completed with such a liability in progress.

Given the value paid for DC then the actual fine is a small proportion of the total value of the business. But would have still have been factored into the deal somehow.
Also interesting as per Potters musings the Royal Warrant could be in question. That could be more costly than the pollution fine.

Zenith and the milk group merged to become dfb
Axis,milk link and zenith were the 3 sons of milk marque, first milk was originally a Scottish coop i think headed by a chap called John Duncan if memory serves
